DynaSky is a subsidiary of Vertex Telecom, Incorporated. By subscribing to the services of DynaSky ("DynaSky"), you agree to the following terms and conditions with respect to your account ("Account"). Use of DynaSky's services ("Service") will constitute your consent to these terms and conditions.

 DynaSky Long Distance Service
Cancellation
This agreement shall remain in full force until such time that either party cancels it. DynaSky may cancel, suspend, or otherwise terminate Service at any time without prior notice for any reason that in DynaSky's judgment may preclude it from receiving payment for its services. To cancel DynaSky, write to: DynaSky, Customer Service, 624 S. Grand Ave., Suite# 2960, Los Angeles, California 90017, USA. Your letter must be signed by you and must also include your DynaSky PIN and current mailing address. Upon DynaSky's receipt of your notice of cancellation you agree that DynaSky has authorization to initiate a final charge if an outstanding balance exists.

Billing
A subscription to DynaSky requires a credit card number for credit verification and payment of charges. By providing DynaSky with a credit card number you grant DynaSky authorization to submit charges. You are responsible for preventing unauthorized use of your Account. You are entitled to refunds, reimbursements, credits, and exchanges for any portion of your account balance only at the discretion of DynaSky and only if a request for such a reimbursement has been made by you. You agree not to resell the Service to others and acknowledge that we cannot verify the identity of persons using the Service with your PIN. You agree to defend and indemnify us from and against all liability, damages and other expenses (including reasonable attorney's fees) arising out of or relating to claims or actions, regardless of form, concerning any breach of this Agreement by you, any acts or omissions by you relating to your performance under this Agreement, and the content or use of the Service by you or by third parties using your Account.

Bills from your other Long Distance Carriers
DynaSky will only charge calls that were connected through our network. We are not responsible for calls that were placed through any carriers other than DynaSky. We disclaim all such bills as the result of any action or practice done by customers.

Expiration Date
The Account (PinDial or DirecDial) will expire 6 months after the date of first purchase or the date of each recharge. Recharge will extend the expiration date by 6 months.

Account
DynaSky reserves the right to deactivate your account and remove all other features and services if the account balance remains zero or negative for a period of 30 days or more. Please protect all your account information. DynaSky is not responsible for lost or stolen PINS or unauthorized usage in your account.

Release
DynaSky shall not be liable or responsible for any damages, losses, obligations, liabilities, claims and expenses (including reasonable attorneys' fees and other costs and expenses of any suit, action, investigation, claim or proceeding) of any kind whatsoever, sustained or incurred or required to be paid by DynaSky by reason of or arising out of or attributed, directly or indirectly, to improper use of DynaSky's Services. Such a release will include DynaSky, its affiliates, and their sub-carriers and subcontractors. DynaSky shall not be held liable or responsible for any damages, losses, obligations, liabilities, claims and expenses (including reasonable attorneys' fees and other costs and expenses of any suit, action, investigation, claim or proceeding) of any kind whatsoever, sustained, or incurred by a user.

Availability of Service
DynaSky makes no warranties or guarantees that any country may be accessible through its Access Numbers. For example, You cannot use DynaSky prepaid calling service to place 700, 900 or 976 number calls, or to place certain operator-assisted, third party billed, or collect calls.

Rate
DynaSky rate table is clearly listed on our RATES PAGE of our home page http://www.dynasky.com, and all rates in this table are denominated in U.S. dollars.   Rates are variable and are determined by the market conditions and/or any other economic factors. Thus, DynaSky does not guarantee the rates would not be adjusted at any point in the future. DynaSky reserves the right to revise the rates periodically.

Procedure for Lost PINs or Forgotten PINs
DynaSky's Customer Service can be contacted by calling 1-877-MY-eLIFE (693-5433) or via e-mail at support@dynasky.com. 24 hours a day, 7 days a week.

 DynaSky eSecretary
Subscription Fee
The subscription fee for the first eSecretary service feature, either Voice Messenger or Call Forwarding, will be $1.95 per month. Each additional feature that ordered will be charged $1.00 per month. The subscription charges will be deducted directly from your DynaSky eCard account at the beginning of each month.

Unauthorized Use
You are responsible for preventing any unauthorized use of your Account. You are entitled to refunds, reimbursements, credits, and exchanges for any portion of your account balance at DynaSky's sole discretion and only if you have submitted such request of reimbursement. The recording time of all eSecretary voice mails is recorded and announced on the Pacific Standard Time (PST).

Service Termination
The subscription fee can be refunded ONLY if the cancellation of services is made within 24 hours after subscribed to the Service. Under all other circumstances, the subscription fee is not refundable, either in full or pro-rated. Once the eSecretary subscription has been terminated, your designated eSecretary phone number will be restored in our database pool; and might be assigned for other user. If you wish to reactivate the eSecretary service, a new phone number will be assigned to you.

Storage
Due to privacy protection, we do not store any eSecretary voice mails in our mail server. Once your voice mails are forwarded to the e-mail address you chose when you set up your account, they will be no longer in our mail server. However, you may retrieve your voice mails through our Phone Response System. The Phone Response System is capable for storing up to twenty voice messages, including saved messages, for a maximum storage period of 30 days. Each message can store voice recording up to 3 minutes. The Phone Response System will automatically remove each saved message with storage period over 30 days. If your voice mailbox reaches the maximum capacity, 20 messages, the Phone Response System will refuse any new incoming voice message to be recorded. The Phone Response System also allows you to manually remove any saved messages. You acknowledge and agree that DynaSky is not responsible or liable for (1) any undeliverable e-mail notifications due to the eSecretary subscriber’s e-mail account exceeds its storage limitation or any failures of availability with your e-mail service providers, (2) any delays or failures of network transmissions or transactions beyond DynaSky’s control, or (3) any damages or costs of any type arising out of or in any way related to your usage of any services available from third parties through links contained on DynaSky Web sites.



Changes to Terms and Condition
DynaSky reserves the right to revise these Terms and Conditions at any time, and users are deemed to be apprised of and bound by any changes to Terms and Conditions.
